Oduflow Commercial License Agreement

1. Source-Available Software

Every plan includes the same complete source code and all Development, Production, MCP, CLI, and API features. The repository, releases, and fixes remain public. Starting with v1.84.0, the public source license is PolyForm Noncommercial License 1.0.0. Free includes its noncommercial and organizational permissions, plus the separate internal evaluation permission for assessing Oduflow before a commercial purchase. Evaluation does not cover live business operations, commercial project development or paid client work. Free does not include direct support. The public license distributed with that release remains in effect. This agreement provides an alternative commercial grant; it does not replace or revoke rights already granted under a public license or an earlier perpetual commercial purchase.

2. Annual Commercial Plans

Use outside the permissions of the applicable public license or internal evaluation grant, including commercial development and client services, requires an annual commercial license from Oduist OÜ. Licenses identify the individual or organization and the permitted use. There is no monthly plan or separate Production subscription.

• Solo: Commercial work by one named developer. Licensed to: Named individual developer.
• Business: Internal use by the licensed company. Licensed to: Named company (internal use only).
• Integrator: Odoo implementation, development, and client services. Licensed to: Named Odoo integrator.
• Enterprise: Hosting, platform services, or custom organizational requirements. Licensed to: Named organization with agreed commercial rights.

Solo is EUR 149/year, Business EUR 499/year, and Integrator EUR 999/year, excluding applicable taxes calculated at checkout. Selecting a plan, naming the license holder, accepting these terms, and completing payment through Paddle forms the commercial order. Enterprise requires individually agreed terms. 3. Permitted Use and Modifications

For the paid subscription period, Oduist grants the named license holder a non-exclusive commercial license to install, operate, and internally modify Oduflow within the purchased plan's scope. Source modifications remain subject to the agreement and do not expand the licensed organizations, use cases, or customer projects.

Customers may inspect the complete delivered source and maintain internal review, build, and deployment processes. Oduflow does not require opaque encrypted components, mandatory telemetry, or a remote production kill switch to enforce commercial compliance.

4. Restrictions

Except as permitted by the release license or a written commercial agreement, you may not:

• redistribute, publish, sell, sublicense, rent, or lease Oduflow or a modified version;
• make Oduflow available as a hosted or managed product for third parties;
• use Oduflow outside the organizations, systems, projects, or services covered by the agreement;
• remove or misrepresent copyright, license, or attribution notices;

Solo permits personal client development and administration; Integrator permits team client services. Selling managed hosting or operating a white label platform requires Enterprise rights agreed for that activity. Those rights do not automatically permit source redistribution or sublicensing. The private Partner Platform at oduflow.sh is a separate service.

5. Updates, Support, and Repository Access

Public source, updates, and fixes are available regardless of plan or commercial license status. Direct support requires an active commercial license. Solo and Business include standard support during business hours; Integrator includes priority support during business hours. Enterprise includes a dedicated account manager and 24/7 critical-incident support with coverage, severity, channels, and response targets defined in the agreement. Onboarding, training, consulting, and custom development are scoped separately.

6. Compliance

Oduflow relies on contractual compliance, not technical obfuscation. On reasonable written request, a customer must provide enough information to confirm that deployment remains within the agreed scope, subject to applicable confidentiality and security obligations.

7. Term and Termination

Solo, Business, and Integrator renew automatically every year through Paddle until canceled. Cancel before the next renewal using the subscription-management link in your Paddle receipt. Cancellation stops future renewals and preserves the remainder of the paid term. A failed or pending payment does not extend the license. Each completed annual payment covers the billing period recorded by Paddle and shown in the signed license. Tax, payment, and any applicable refund rights are subject to the checkout terms and applicable law.

Commercial subscriptions run annually, with renewal and termination terms defined in the agreement. On expiration, commercial rights and support end unless otherwise agreed. A red license-status banner indicates the expired license, but no features or running systems are disabled. Source and public updates remain accessible. Continued technical access does not extend commercial rights: the customer must renew or stop the affected commercial use. Evaluation and non-commercial rights remain subject to the release license.

8. Relationship to Other Terms

The commercial agreement and the Terms of Service govern commercial use. If they conflict, the signed commercial agreement controls for the customer and engagement it covers.
