Commercial License Agreement

1. Overview

Oduflow is source-available software licensed by Oduist OÜ (the "Licensor") under the Business Source License 1.1 (the "BSL"). Under the BSL, use of Oduflow for a Non-Commercial Purpose is free. Any other production use is a Commercial Purpose and requires a commercial license from the Licensor.

This Commercial License Agreement (the "Agreement") describes the rights granted by each commercial license tier. It is the "applicable commercial license agreement" referenced in the BSL. It supplements — and does not replace — the BSL and our Terms of Service.

2. Definitions

  • Licensee — the named natural person or legal entity identified when the license is purchased.
  • Affiliate — any entity that controls, is controlled by, or is under common control with the Licensee.
  • Non-Commercial Purpose — as defined in the BSL: evaluation and trials, education, teaching and academic research, personal and hobby projects, and use by charitable, educational, public research, or government institutions, in each case not intended for or directed toward commercial advantage or monetary compensation.
  • Commercial Purpose — any production use of Oduflow that is not a Non-Commercial Purpose.

3. Grant of License

Subject to payment and to the terms of this Agreement, the Licensor grants the Licensee a worldwide, non-exclusive, non-transferable, non-sublicensable license to use Oduflow for a Commercial Purpose within the scope of the purchased tier. All commercial licenses share the following terms:

  • Perpetual — the license does not expire and is a one-time purchase; there are no recurring or subscription fees for use of the software itself.
  • Self-hosted — the license is for the Licensee to run and operate Oduflow on its own infrastructure. It does not grant the right to offer Oduflow itself to third parties as a hosted or managed service.
  • All features — every feature is included. A commercial license is legal permission to use Oduflow commercially; it does not unlock additional functionality.
  • No usage limits — no limits on the number of Oduflow instances or environments.
  • Named — the license is issued to the named Licensee and may not be transferred, resold, or shared with another person or entity.

4. License Tiers

Individual

For one named natural person — such as a freelancer or sole developer — who uses Oduflow for a Commercial Purpose on their own account.

Business

For a legal entity that uses Oduflow internally, for its own needs: developing, testing, maintaining, and operating Odoo systems that are used by that entity itself and its Affiliates under common control.

Odoo Integrator

For a person or entity that uses Oduflow to provide services to third parties — such as Odoo implementation, integration, custom development, migration, maintenance, support, or hosting.

The difference between Business and Odoo Integrator is whose Odoo systems Oduflow is used for: if they belong to, or are used by, your clients rather than your own organization, you need an Odoo Integrator license — regardless of the size of your organization.

5. Restrictions

The Licensee may not:

  • resell, sublicense, rent, lease, or otherwise redistribute Oduflow itself, in original or modified form, to third parties;
  • offer Oduflow itself to third parties as a hosted, managed, or "as-a-service" product;
  • use the license outside the scope of the purchased tier (for example, using a Business license to serve third-party clients);
  • remove, obscure, or alter any license notices, copyright notices, or attribution contained in Oduflow.

Uses that fall outside the tiers described above — for example, becoming a regional provider that hosts Oduflow for its own clients — require a separate written arrangement with the Licensor. Contact us to discuss.

6. Updates and Support

A commercial license includes access to updates within the version lineage you are entitled to. Support is provided through the channel indicated for your tier on the pricing page. Oduflow is self-hosted; you remain responsible for the environments you provision and the data you process, as described in our Terms of Service.

7. Term and Termination

This Agreement is effective on purchase and continues perpetually unless terminated. Your rights under this Agreement terminate automatically if you materially breach it, and — as set out in the Terms of Service — if you receive a refund. On termination you must cease all commercial use of Oduflow and remove the license file from all installations. Use of Oduflow for a Non-Commercial Purpose under the BSL is unaffected.

8. Warranty and Liability

Oduflow is provided on an "as is" basis, without warranties of any kind. The disclaimers and limitations of liability set out in our Terms of Service apply to this Agreement. This Agreement is governed by the laws of the Republic of Estonia.
