Terms of Service

1. General

These Terms of Service govern the purchase of software licenses from Oduist OÜ, a company registered in the Republic of Estonia, for its product Oduflow — an AI-first Odoo development and CI tool powered by reusable database templates. By purchasing a license, you agree to these Terms.

2. Product and Licensing Model

Oduflow is distributed under the Polyform Noncommercial License 1.0.0. The software is fully functional without a commercial license. A commercial license is a legal permission to use Oduflow for business and commercial purposes — it does not unlock additional features or capabilities.

As the software operates in full without a license, there are no trial periods. You can evaluate the complete product at any time before deciding to purchase a commercial license.

3. Purchase and Payment

• License purchases are processed through our website at oduflow.dev.
• The current price of each license tier is displayed on the pricing page at the time of purchase. Prices may vary depending on region, applicable taxes, and market conditions.
• The purchase of a license constitutes a one-time payment. We do not charge recurring fees for the use of the software itself.

4. Refund Policy

You have the right to request a full refund within 14 (fourteen) calendar days of the date of purchase, for any reason and without the need to provide justification.

To request a refund, send an email to request@oduflow.dev with your purchase details. Upon processing a refund, your right to use the software for commercial purposes is terminated. You must immediately remove the license file from all computers and installations and cease all commercial use of the software. Continued commercial use after a refund constitutes a violation of these Terms and the Polyform Noncommercial License.

Refund requests submitted after the 14-day window will not be accepted.

5. Disclaimer of Warranties

The software is provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory. Oduist OÜ expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranties arising out of course of dealing or usage of trade.

6. Limitation of Liability

To the maximum extent permitted by applicable law, Oduist OÜ, its directors, employees, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with:

• The use or inability to use the software.
• Any errors, bugs, or defects in the software.
• Any unauthorized access to or alteration of your data or infrastructure resulting from the use of the software.
• Any misuse of the software, including but not limited to use in violation of applicable laws, regulations, or third-party rights.
• Any downtime, data loss, or system failure related to environments provisioned or managed by the software.

You acknowledge that Oduflow provisions Docker-based development environments and interacts with databases, filestores, and infrastructure components. You assume full responsibility for the environments you create, the data you process, and the configurations you apply. Oduist OÜ bears no responsibility for any consequences arising from such use.

7. Indemnification

You agree to indemnify and hold harmless Oduist OÜ from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of your use or misuse of the software, your violation of these Terms, or your violation of any rights of a third party.

8. Changes to These Terms

We may update these Terms of Service from time to time. Changes will be posted on this page with an updated effective date. Continued use of a commercial license after changes are posted constitutes acceptance of the revised Terms.

9. Governing Law

These Terms are governed by and construed in accordance with the laws of the Republic of Estonia. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the Estonian courts.
