Terms of Service

1. General

These Terms govern access to Oduflow software, documentation, onboarding, support, training, and related services provided by Oduist OÜ, a company registered in the Republic of Estonia. Additional terms may be set out in an accepted Paddle checkout, proposal, order form, statement of work, or other written agreement accepted by both parties (an "Order Form").

2. Source Access and Evaluation

All plans provide the full source code, all features, and public updates. From v1.84.0, Free covers the permissions of PolyForm Noncommercial License 1.0.0 and a separate internal evaluation grant, as distributed with the relevant release. Evaluation permits isolated assessment before buying; it does not cover live business operations, commercial project development or paid client work. The public license's organizational permissions remain effective.

3. Commercial Use

Use outside those permissions requires an annual Solo, Business, Integrator, or Enterprise license from Oduist OÜ, as described on the Pricing page. The Oduflow Commercial License Agreement and accepted checkout define standard annual purchases. The permitted organizations, systems, users, environments, customer projects, hosting arrangements, term, fees, and renewal conditions are those stated in the applicable Order Form. If an Order Form conflicts with these Terms, the Order Form controls for that engagement.

4. Services, Updates, and Support

Public updates and fixes remain available to everyone, including after a commercial subscription ends. Direct support is available to active commercial license holders at their plan's support level. Enterprise critical-incident coverage and response targets are defined in the Order Form. Onboarding, implementation, training, consulting, and custom development are scoped separately. Dates and estimates depend on timely access to the information, infrastructure, credentials, and personnel required for delivery.

5. Customer Responsibilities

• Operate Oduflow only within the agreed scope and applicable law.
• Maintain appropriate backups, access controls, monitoring, and security for self-hosted infrastructure.
• Ensure that production-derived data is lawfully obtained, sanitized, and made available only to authorized users.
• Protect credentials and promptly report suspected unauthorized access.
• Review deployment and recovery procedures before relying on them for business-critical systems.

6. Intellectual Property

Oduist OÜ and its licensors retain all rights not expressly granted in writing. Unless an Order Form says otherwise, the customer retains ownership of its data, repositories, Odoo modules, and other materials supplied to Oduist OÜ. Feedback may be used to improve Oduflow without identifying the customer or disclosing confidential information.

7. Confidentiality

Each party must protect non-public technical, commercial, and operational information received from the other party and use it only for the agreed engagement. This obligation does not cover information that is public through no breach, independently developed, or lawfully received without restriction.

8. Warranty and Availability

Except for commitments expressly stated in an Order Form, Oduflow and related services are provided on an "as is" and "as available" basis to the maximum extent permitted by law. Self-hosted operation depends on customer-controlled infrastructure and third-party components. Oduist OÜ does not warrant uninterrupted or error-free operation.

9. Limitation of Liability

To the maximum extent permitted by applicable law, neither party is liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, goodwill, or data. Any further limitations, exclusions, or liability caps are set out in the applicable Order Form. Nothing in these Terms excludes liability that cannot lawfully be excluded.

10. Termination

Either party may terminate an agreement as provided in its Order Form or for an uncured material breach. When commercial rights end, the customer must cease the affected commercial use of Oduflow or renew. An expired license displays a status banner without disabling features, running systems, or access to public updates. Technical availability does not extend commercial rights. Terms that by their nature should survive termination, including confidentiality, intellectual property, accrued payment obligations, and liability provisions, continue to apply.

11. Governing Law

These Terms are governed by the laws of the Republic of Estonia, without regard to conflict-of-law rules. Unless an Order Form states otherwise, disputes are subject to the exclusive jurisdiction of the Estonian courts.
